Fitness Champs Holdings completes $15 million IPO on NASDAQ

Fitness Champs Holdings Limited (FCHL) completed its initial public offering of 3.75 million ordinary shares at $4.00 per share, according to a company statement. The Singapore-based aquatic sports education provider began trading on the Nasdaq Capital Market on September 4, 2025.
The company sold 2 million shares while selling shareholders offered 1.75 million shares. Fitness Champs Holdings received gross proceeds of $8 million from the offering before deducting underwriting discounts and expenses.
The company plans to use net proceeds to hire and train additional coaches, fund marketing and branding efforts, pursue business development including expansion into other aquatic sports, and explore potential strategic acquisitions. Funds will also repay loans from the controlling shareholder related to offering costs and support general working capital needs.
Bancroft Capital served as lead managing underwriter and book-runner for the offering, which was conducted on a firm commitment basis. The Securities and Exchange Commission declared the registration statement effective on September 3, 2025.
Fitness Champs Holdings provides swimming lessons to children and adults in Singapore, including through the government’s SwimSafer program for public school students. The company has operated private swimming lessons under the Fitness Champs brand since 2012 and offers specialized programs including ladies-only classes and competitive swimming instruction.
The company describes itself as one of the largest providers of swimming lessons to children in Singapore’s public schools through the Ministry of Education program. Fitness Champs Holdings plans to expand into other sports education offerings, including pickleball.
